Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Clausearc platform and website operated by Clausearc, Inc. ("Clausearc"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Clausearc provides a software-as-a-service platform that performs automated, playbook-driven contract review and generates tracked-changes redline documents based on your firm’s negotiation playbook. The Service is designed for use by licensed attorneys and their authorized staff at law firms and legal departments.
2. Authorized Use
The Service is licensed to law firms and legal professionals for internal use in the practice of law. You may not:
- Resell, sublicense, or redistribute the Service or its outputs without written authorization
- Use the Service to provide contract review services to third parties as a standalone offering
- Attempt to reverse-engineer, decompile, or extract the underlying models or playbook logic
- Submit documents to the Service that you do not have authorization to process
3. Professional Responsibility
Clausearc outputs are tools to assist attorney review, not substitutes for attorney judgment. Attorneys using the Service remain solely responsible for:
- The accuracy and appropriateness of all redlines sent to counterparties
- Compliance with applicable rules of professional conduct
- Client communication about the use of automated assistance in contract review
- Final review and approval of all output before it is used in client matters
Clausearc does not provide legal advice. Platform outputs do not constitute legal advice or create an attorney-client relationship between Clausearc and any party.
4. Confidentiality of Contract Content
Clausearc treats all contract content submitted to the platform as confidential. We do not share contract content with third parties. We do not use contract content to train models without explicit written consent. Our data handling practices are described in our Privacy Policy.
5. Subscription and Payment
The Service is available on a subscription basis. Fees are set forth in your Order Form. Subscriptions are billed annually in advance unless otherwise agreed. Fees are non-refundable except as required by law or as specified in your Order Form.
6. Intellectual Property
Clausearc retains all rights in the platform, models, and underlying technology. You retain all rights in your firm’s negotiation playbook and the contract documents you submit. Redline output documents generated by the platform belong to you.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAUSEARC’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. CLAUSEARC IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.
8. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS." CLAUSEARC DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT ALL CONTRACT PROVISIONS WILL BE CORRECTLY IDENTIFIED, OR THAT OUTPUTS WILL BE APPROPRIATE FOR ANY PARTICULAR MATTER. YOU ARE RESPONSIBLE FOR ATTORNEY REVIEW OF ALL OUTPUTS.
9. Termination
Either party may terminate the subscription at the end of the then-current subscription period on 30 days’ written notice. Clausearc may suspend or terminate access immediately for material breach of these Terms, including unauthorized use or non-payment.
10. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.
11. Changes to Terms
We may update these Terms periodically. We will provide 30 days’ notice of material changes to registered users. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
