The mid-market law firm's relationship with AI legal technology is more nuanced than the adoption/resistance binary that most technology commentary applies to it. The firms that are moving slowly on AI adoption are not uniformly skeptical about technology or indifferent to efficiency; many have specific and defensible reasons for their pace that the firms promoting rapid adoption rarely engage with honestly.

What the Holdouts Have Right

Several concerns from mid-market firms that have moved slowly on AI adoption are well-founded and deserve serious engagement rather than dismissal.

Model transparency. The question of why an AI tool produced a specific output — which training data, which rules, which confidence thresholds — is not always answerable in commercially available legal AI products. For law firms, where professional responsibility requires that attorneys understand and can defend their work product, a tool whose reasoning process is opaque presents genuine compliance and quality control questions. "The AI recommended it" is not a defensible answer to a client who asks why a particular contract position was taken or abandoned.

This concern has more force for some applications than others. An AI tool that generates a redline suggestion from a documented playbook with an explicit citation to the playbook provision is transparent in a way that a general-model AI tool generating contract language without visible reasoning is not. The transparency concern is a reason to select carefully, not a reason to avoid the category.

Data security and confidentiality. Attorney-client privilege and confidentiality obligations require that client matter information remain within the firm's security perimeter. Cloud-based AI tools that process client documents outside the firm's infrastructure raise questions about who can access that data, whether it is used for model training, and what the firm's obligations are if that data is compromised.

These are legitimate due diligence questions. The answers vary by vendor. Attorney supervision requirements. Model Rules of Professional Conduct require attorney supervision of work product, including work product that is technology-assisted. The supervision requirement is not reduced because AI produced a first draft; an attorney still needs to review and take responsibility for the output. Firms that have not clearly defined their supervision workflow for AI-assisted work product have a professional responsibility gap that needs to be addressed before the tool goes into production use.

Where the Caution Becomes Counterproductive

The concerns above are valid. A different set of objections that appear in mid-market holdout conversations are less defensible when examined carefully.

"The tool might make mistakes." This is true. The relevant comparison is not AI-assisted work product versus perfect work product; it is AI-assisted work product versus associate-produced work product under time pressure. Associates make mistakes too. The question is whether a playbook-driven AI redline with an attorney quality check produces fewer material errors than an associate review without AI assistance on the same time budget. The available evidence consistently supports the AI-assisted approach for routine contract types.

"Clients will object to AI being used." Some clients have AI usage policies that require disclosure or consent. Those policies need to be respected. But the extrapolation from "some clients have policies" to "AI cannot be used in client work" misrepresents what client policies actually say and how widely they apply. Most mid-market corporate clients do not have AI usage policies that restrict law firm tool selection; those that do typically address the disclosure obligation rather than imposing a prohibition.

"We need to understand the technology before adopting it." This sounds like due diligence but often functions as indefinite deferral. A practice group that has been "evaluating" AI contract review tools for 18 months without making a decision is not conducting due diligence; it is avoiding a decision. They reviewed the tool's data handling practices with the firm's ethics counsel or outside privacy counsel before deployment. The due diligence happened, was documented, and produced a clear conclusion about the firm's obligations and the tool's compliance posture.

They measured outcomes after the first quarter. Time savings per review, associate satisfaction with the tool's output quality, client feedback on turnaround time. The measurement keeps the adoption honest and provides the data needed to decide whether to expand use to additional contract types or practice groups.
